Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the LeadLogix platform (the “Service”) operated by Diggit Software Solutions Co. LLC (“Diggit”, “we”, “us”, or “our”). By accessing or using the Service, or by authorising the Service to operate advertising on your behalf, you agree to be bound by these Terms.
1. Agreement and parties
These Terms form a binding agreement between Diggit and the business entity on whose behalf the Service is used (the “Client”), together with any individual who accesses the Service as an employee, contractor, or agent of that entity (a “User”). If you accept these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Definitions
- “Service” means the LeadLogix marketing automation platform, including the dashboard at dashboard.leadlogix.ai, the marketing site at leadlogix.ai, and the underlying automation and agent infrastructure.
- “Ad Platform” means any third-party advertising platform on which the Service operates campaigns, including Meta, Google, and LinkedIn.
- “Campaign” means an advertising campaign created, deployed, monitored, or modified through the Service.
- “Platform Data” means data received from an Ad Platform through authorised credentials or API access.
3. The Service
LeadLogix is a multi-tenant marketing automation platform that plans, deploys, monitors, and optimises paid advertising campaigns on behalf of Clients across third-party Ad Platforms. The Service uses a combination of automated agents and human oversight to generate campaign strategy, creative briefs, and advertising copy, and to deploy and manage Campaigns subject to the controls described in these Terms.
4. Eligibility and accounts
The Service is intended for business use by representatives of organisations who are at least 18 years old. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use. Authentication uses hashed credentials, session expiry, and account lockout protections; you agree not to attempt to circumvent these controls.
5. Acceptable use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Advertise content that is unlawful, deceptive, or prohibited by an Ad Platform’s policies.
- Attempt to gain unauthorised access to the Service, other Clients’ data, or underlying infrastructure.
- Interfere with or disrupt the integrity or performance of the Service.
- Submit data you are not authorised to provide or process.
6. Advertising operations and authorisations
The Service operates Campaigns only on Ad Platform accounts that the Client owns or has been granted access to, and only after the Client authorises such access through the relevant Ad Platform’s permission mechanisms. You represent that you hold the necessary rights and authorisations for every account, credential, and asset you connect to or submit through the Service.
7. Ad spend, budgets, and outcomes
Ad spend is billed directly by the relevant Ad Platform to the payment credentials supplied by the Client; Diggit does not process ad-spend payments through the Service. Campaign budgets are enforced by a hard-coded global ceiling and per-Client budget limits within the Service, together with cumulative spend tracking that can automatically stop Campaigns on budget exhaustion. While these controls are designed to prevent runaway spend, you acknowledge that:
- Advertising outcomes, including reach, leads, conversions, cost-per-lead, and return on ad spend, depend on factors outside our control and are not guaranteed.
- You remain responsible for monitoring your Campaigns and for the ad spend incurred on your Ad Platform accounts.
- We are not responsible for outcomes arising from inaccurate, incomplete, or unauthorised information you submit.
8. Human approval and automation
Campaign deployment is subject to a mandatory human approval gate. Automated agents may adjust budgets, pause Campaigns, or stop Campaigns when cost thresholds are breached or campaign end dates are reached. A manual stop control is available to authorised Users. Every spend-affecting action is logged with a timestamp and job identifier. You are responsible for reviewing items presented at the approval gate before granting approval.
9. Third-party platforms
Your use of Ad Platforms is governed by those platforms’ own terms and policies. We are not responsible for the availability, decisions, account actions, or policy enforcement of any Ad Platform, including the suspension or restriction of a Client’s advertising account. You agree to comply with all applicable Ad Platform policies when using the Service.
10. Intellectual property
The Service, including its software, design, and underlying automation, is owned by Diggit and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes. You retain ownership of the creative assets, briefs, and other materials you submit, and grant us the rights necessary to process them to provide the Service.
11. Data protection
Our processing of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. Where we process personal data on behalf of a Client in the course of advertising operations, the Client is the data controller and Diggit acts as a data processor under the applicable data-protection frameworks, including the GDPR, UK GDPR, UAE PDPL, CCPA, and Singapore PDPA. Data deletion requests are handled as described in our Data Deletion Instructions.
12. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that advertising results will meet your expectations.
13. Limitation of liability
To the maximum extent permitted by law, Diggit will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or ad spend, arising out of or relating to the Service, even if advised of the possibility of such damages. Our aggregate liability arising out of or relating to these Terms will not exceed the amounts, if any, paid by the Client to Diggit for the Service in the three months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless Diggit and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content or assets, your breach of these Terms, or your violation of any law or third-party right, including any Ad Platform policy.
15. Suspension and termination
We may suspend or terminate access to the Service if you breach these Terms, if required to comply with law or an Ad Platform requirement, or to protect the security or integrity of the Service. You may stop using the Service at any time. On termination, we will handle your data as described in our Privacy Policy and Data Deletion Instructions, subject to legal retention requirements.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the version and date at the top of this document and, where appropriate, notify Users through the platform or by email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Governing law
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles, and the courts of the Emirate of Dubai will have jurisdiction, except where mandatory local consumer or data-protection law provides otherwise.
